Terms of Service

1 Acceptance

These Terms govern use of the websites and apps of SPHEREMEDIA.AI LTD, Reg. No. HE 495384, Aiolou & Panagioti Diomidou 9, Katholiki, 3020 Limassol, Cyprus ("Spheremedia"). By using them you accept these Terms.

2 Services

Spheremedia provides AI-native growth services — performance media, ASO, SEO, creative production and lifecycle/CRM — to business clients under separate written engagements, and operates its own consumer apps.

Client engagements are governed primarily by their signed agreements; these Terms apply to website and app use.

3 User obligations

You must be 18+ to use our consumer apps, provide accurate information, keep credentials confidential, and not misuse, scrape, reverse-engineer, or interfere with the services or use them unlawfully.

4 Consumer apps

Where an owned app offers content or paid features to consumers:

• Pricing Prices are shown before purchase.
• Withdrawal right EU/EEA consumers have a statutory 14-day withdrawal right, waived for digital content delivered immediately with your express consent.
• Content App content is informational and provided as-is.

Mandatory consumer protections of your country of residence are not affected by these Terms.

5 Intellectual property

All content, software, marks and data on the services belong to Spheremedia or its licensors. Deliverables created for clients are owned as set out in the applicable client agreement. You receive only a limited, revocable licence for personal or internal business use.

6 Disclaimers

The services are provided "as is" and "as available". We do not warrant uninterrupted or error-free operation, or that any marketing outcome, ranking, or performance result will be achieved.

7 Limitation of liability

To the maximum extent permitted by law, Spheremedia is not liable for indirect or consequential damages, loss of profit or data.

• Aggregate cap Total aggregate liability is capped at the amounts paid to us in the 3 months preceding the claim, or EUR 100 where nothing was paid.
• Non-excludable liability Nothing excludes liability that cannot be excluded by law.

8 Indemnification

Business users will indemnify Spheremedia against claims arising from their breach of these Terms or unlawful use of the services.

9 Termination

We may suspend or terminate access for breach. You may stop using the services at any time.

10 Governing law & disputes

Cyprus law governs these Terms; the courts of Limassol have exclusive jurisdiction — except that consumers in the EU/EEA retain the right to bring or defend proceedings in their home country and to use the EU ODR platform where applicable.
